These Terms of Service ("Terms") govern access to and use of the Beacon AI platform, including our website at beaconcalls.com, dashboard, and related services (collectively, the "Service"). The Service is provided by Beacon AI ("Beacon AI," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
1. Eligibility and Account
- The Service is for business customers (B2B) only.
- You must be at least 18 years old and able to form a binding contract to use the Service.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
2. The Service
Beacon AI provides tools for inbound call handling, including answering FAQs, generating call transcripts, supporting email follow-ups, providing dashboard analytics, and live call monitoring. Customers can configure and customize their AI agent using prompts, scripts, or knowledge content they provide.
We may modify, add, or remove features from time to time.
3. Customer Responsibilities and Legal Compliance
You are solely responsible for:
- your use of the Service and all content you provide to it; and
- complying with all applicable laws and regulations, including privacy, communications, consumer protection, anti-spam/telemarketing rules, and any laws about notice and consent for transcription/monitoring.
You represent and warrant that:
- you have all necessary rights and permissions to upload or provide any data to the Service (including contact lists); and
- you have the right to contact and communicate with any individuals reached through your use of the Service; and
- you will provide any required disclosures and obtain any required consents from call participants, including consent for transcription and any monitoring that may be legally required; and
- when connecting third-party services (such as Google Calendar), you have the authority and right to connect those services and authorize Beacon AI to access them on your behalf.
4. No Call Recording; Transcription
Beacon AI does not record calls. However, the Service generates transcripts (and related analytics) from call audio processed through our service providers.
Because legal requirements vary by jurisdiction, you are responsible for ensuring that your use of transcription and call monitoring complies with the law and includes any required participant notice or consent.
5. Customer Data and License
"Customer Data" means data you (or your users) submit to the Service or that is generated through your use of the Service, including: contact information, call metadata, transcripts, leads captured during calls, agent prompts/scripts/knowledge content, and analytics outputs.
As between you and Beacon AI:
- You own Customer Data.
- You grant Beacon AI a non-exclusive, worldwide license to host, process, transmit, and display Customer Data only as necessary to provide, maintain, secure, and improve the Service, comply with law, and enforce these Terms.
6. AI Outputs and Reliability Disclaimer
The Service may generate summaries, lead signals, and analytics (e.g., "customer attitude") using automated systems. Outputs may be inaccurate or incomplete. You are responsible for reviewing outputs and making decisions based on them.
The Service is not legal, medical, financial, or other professional advice.
7. Acceptable Use
You agree not to use the Service to:
- violate any law or third-party rights;
- send spam, unlawful solicitations, or deceptive communications;
- engage in fraud, harassment, or impersonation;
- collect or process data in a way that violates privacy/consent laws;
- interfere with or disrupt the Service, probe or scan for vulnerabilities, or bypass security;
- reverse engineer or attempt to extract source code or underlying models, except where prohibited by law.
We may suspend or terminate access for violations.
8. Third-Party Services and Integrations
The Service uses and may connect to third-party providers, including:
- Clerk (authentication)
- Stripe (payments)
- Vapi (telephony/call infrastructure)
- Resend (email delivery)
- Vercel (hosting/infrastructure)
- OpenAI (AI processing)
- Google (calendar integration when you connect Google Calendar via OAuth)
Third-party integrations: The Service may allow you to connect third-party services (such as Google Calendar) with your permission. When you connect these services:
- You authorize Beacon AI to access and use those services on your behalf for Service functionality (e.g., creating calendar events);
- You are responsible for ensuring you have the right to connect and use those services;
- Your use of connected services is subject to their own terms and policies; and
- You can disconnect integrated services at any time from your dashboard.
Scheduling disclaimers: When using scheduling and appointment features:
- Beacon AI is not responsible for scheduling conflicts, missed appointments, timezone errors, or calendar synchronization issues;
- You are responsible for verifying appointment accuracy and communicating with customers about scheduling;
- Third-party calendar service outages or API changes may affect scheduling functionality; and
- Network timeouts, API rate limits, or other technical issues may prevent appointment creation or updates.
Beacon AI is not responsible for third-party outages, changes, or interruptions.
9. Fees, Billing, and No Refunds
- The Service is billed on a monthly subscription basis, as shown at checkout or in your plan details.
- Payments are processed by Stripe. You authorize recurring charges to your payment method.
- Refunds: No refunds (including for partial months), except where required by law.
- You are responsible for all applicable taxes (unless stated otherwise).
10. Suspension, Termination, and Data Deletion
- You may stop using the Service at any time by cancelling your subscription.
- We may suspend or terminate access if you violate these Terms, fail to pay fees, or if we believe suspension is necessary to protect the Service, other customers, or the public.
- Deletion on cancellation: Account data is deleted within 24 hours of cancellation/deletion request (subject to limited exceptions like legal compliance and billing records retained by Stripe). See the Privacy Policy for details.
11. Intellectual Property
Beacon AI and its licensors retain all rights, title, and interest in the Service, including software, design, branding, and underlying technology. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms.
You retain ownership of your Customer Data.
12. Confidentiality (B2B)
Each party may receive non-public information from the other. You agree to protect Beacon AI's confidential information and use it only to use the Service. Confidential information does not include information that is public, independently developed, or rightfully received without confidentiality obligations.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEACON AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee uninterrupted operation or that the Service will be error-free.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- BEACON AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
- BEACON AI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO BEACON AI FOR THE SERVICE IN THE ONE (1) MONTH PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so these may apply only to the extent permitted by law.
15. Indemnification
You will defend, indemnify, and hold harmless Beacon AI from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- your use of the Service;
- your Customer Data;
- your failure to provide required notices or obtain required consents; or
- your violation of law or third-party rights.
16. Changes to These Terms
We may update these Terms. If we make material changes, we will provide notice (e.g., via email or within the Service). Continued use after the effective date of the updated Terms means you accept the changes.
17. Governing Law and Venue
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Toronto, Ontario.
